Mr. Rosenthal has extensive experience in the areas of estate planning and real estate development. He is also active in health care and entertainment law. In the health care area, he represents medical professionals in connection with the establishment and sale of medical, dental, and orthodontic practices. Mr. Rosenthal's entertainment practice includes venue owners/operators, concert promoters, producers, writers and several radio stations. Mr. Rosenthal is on the Lawyer Referral Panel of the California Association of Realtors and is General Counsel for the Los Angeles Paralegal Association.

Mr. Marsh has extensive experience handling an enormous variety of business and real estate transactions on behalf of individuals and small to large businesses. Some examples of Mr. Marsh’s broad based experience include (i) representing landlords and tenants in drafting residential, retail, commercial, industrial and office space leases, (ii) negotiating and drafting real property agreements, including purchase and sale agreements, CC&R’s, and easement and other adjacent landowner agreements, (iii) representing numerous lenders in issuing “hard money,” conduit, and other personal and business loans, and in securing and otherwise collateralizing each loan, (iv) representing clients in all aspects of formation, sales, acquisitions, investments, and mergers for various businesses and ventures, including drafting subscription agreements, PPM’s, asset and stock purchase agreements, Operating Agreements and Bylaws, Buy-Sell and Cross Purchase Agreements, and other shareholder/partner/member agreements, (v) drafting and negotiating domestic and international licensing and distribution agreements, (vi) drafting numerous entertainment agreements, including those relating to merchandising, agent-finder’s fees, management and other representation, artist and/or production agreements, and artist-athlete-celebrity licensing and endorsement agreements, (vii) drafting of multiple supplier and vendor agreements including, without limitation, for large domestic Asian food supplier with operations throughout the U.S., and (viii) drafting numerous employment and independent contractor agreements, non-disclosure, confidentiality and other proprietary and trade secrets protection agreements.

Some of Mr. Marsh’s notable past transactions include (i) working with team in representing one of the largest and well-known hotel and casino companies in the world in its sale of 5 hotels/casinos in Nevada (for a combined price of approximately $600,000,000), its $600,000,000 acquisition of several parcels of approximately 60 acres of vacant land on the Las Vegas strip, and its other large scale commercial and mixed-use developments, and (ii) representing marketing company in connection with its $100,000,000 sale of international marketing business.

Ms. Brien is highly active in estate planning and handles the majority of the firms' estate planning clients (ranging from small estates to complex estates of over $90 million). Ms. Brien is also active in corporate and transactional law, and is a strong advocate for finding alternative solutions to litigation.


Ms. Novak is an estate planning, estate/trust administration, probate and corporate paralegal with 40 years experience.  She has extensive experience in handling large and small probate estates, non-court estate and trust administrations and Conservatorships, as well as preparation of estate planning documents.  Her corporate experience includes formation and maintenance of corporations and the handling of all related corporate matters.
